CORPORATE FRAUD AND ABUSE
Corporate fraud and abuse is receiving
increased attention in recent years. Such corporate problems
often result in parallel proceedings wherein companies and
individuals simultaneously face criminal and civil penalties
and sanctions. Effective representation of a corporate officer
or director cannot be limited to just the criminal context.
Our firm is not only mindful, but also experienced in handling
the regulatory issues that arise in a variety of contexts.
Specifically, we have litigated with the government over Medicare
fraud, claims under the Federal False Claims Act, and debarment
of defense contractors. Too many firms find themselves in
a position where, given the government’s often inflated
charges, they feel compelled to immediately negotiate a settlement
whereas we have found that an aggressive response challenging
the government’s allegations can ultimately prove far
more fruitful. We have actively pursued and defended RICO
claims.
BUSINESS AND SHAREHOLDER DISPUTES
Particularly complex business problems, such as the dissolution of a business or the break-up of a partnership, require a knowledge of not only the legal principals but also the applicable market or business principles. In this regard, the firm has been actively involved in a number of partnership dissolutions. We have aggressively represented minority shareholders to ensure that they receive a fair value for their interests in a corporation which dissolves or merges. The firm has represented a number of corporate officers and executives upon their voluntary departure or with regard to termination proceedings from their corporate employer.
EXECUTIVE COMPENSATION AND SEVERANCE
Individuals are often at a disadvantage when they accept employment with a major corporation. Promises are made to induce persons to take executive and officer level positions but then these promises are not subsequently honored. We have an established track record of representing such corporate officers and executives and aggressively litigating to obtain for them promised but unfulfilled equity positions, stock options, and earned bonuses from their corporate employers.
